Terms of Service

1. Definitions

"Modusdom," "we," "us," "our" refer to NY Screens Media LLC, a New York limited liability company headquartered in Brooklyn, New York, operating modusdom.com. "Customer," "you," "your" refer to the individual or entity that has registered a Modusdom account. "Services" means domain registration, DNS hosting, email hosting, SSL certificates, and related managed services provided by Modusdom. "Registrar" means Tucows Domains Inc., operating as OpenSRS, the ICANN-accredited registrar of record for all gTLDs registered through Modusdom (IANA Registrar ID #69).

2. Acceptance & Eligibility

By creating an account, registering a domain, or using any Service, you agree to these Terms, our Privacy Policy, our Acceptable Use Policy, and our Refund Policy, all of which are incorporated by reference. You represent that (a) you are at least 18 years old, (b) you are entering into this agreement either on your own behalf or with authority to bind a legal entity, and (c) the information you provide is accurate, current, and complete.

3. Account Registration & Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at hello@modusdom.com of any unauthorized access. We may suspend access for evidence of compromise.

4. Description of Services

Modusdom provides retail registration of domain names through Tucows/OpenSRS, hosted email through OpenSRS Hosted Email (a Tucows-operated platform), DNS hosting through Modusdom's own infrastructure, and resold SSL certificates from Sectigo. We may add or discontinue Services with notice. We do not operate the underlying registry for any TLD; pricing, availability, eligibility, and registry policies are set by the registry operator and ICANN.

5. Fees, Payment, & Taxes

All fees are in U.S. Dollars and exclusive of any applicable taxes, which are your responsibility. Domain registration fees are charged at the time of registration. Recurring services (e.g., monthly mailbox subscriptions, annual protection plans) are billed in advance for the upcoming period. Payment is processed by Stripe, Inc.; Modusdom does not store cardholder data on its servers. If a payment fails, we may suspend the Service until the balance is paid.

6. Renewal, Auto-Renew, Grace & Redemption Periods

Domain registrations are time-limited and must be renewed to remain active. If you have enabled auto-renew, we will attempt to charge your default payment method beginning approximately 14 days before the registration expiry date.

If a domain is not renewed by the expiration date, it enters the Auto-Renew Grace Period (typically up to 45 days for gTLDs) during which it may be renewed at the standard rate. After this period, it enters the Redemption Grace Period (typically 30 days), during which recovery is possible but subject to a registry-imposed redemption fee (typically $80–$150 plus the renewal cost). Following redemption, the domain enters Pending Delete (5 days) and is then released to the public pool.

7. Refund Policy

Refunds are governed by our Refund Policy. In summary: domain registrations and renewals are non-refundable once submitted to the registry. Inbound transfer fees become non-refundable once we submit the transfer to the losing registrar. Redemption-period fees and registry-mandated non-refundable fees (e.g., the .ai application fee) are not refundable. Monthly subscriptions may be cancelled at any time and run through the end of the current paid period. SSL certificates are refundable within 30 days if unused. Setup fees are refundable within 14 days minus any third-party costs already incurred on your behalf.

8. ICANN Policies Incorporated by Reference

All generic top-level domain registrations are subject to ICANN consensus policies. You agree to be bound by, and you acknowledge that these policies form part of your domain registration agreement:

• 2024 Registration Data Policy — icann.org/en/contracted-parties/consensus-policies/registration-data-policy

For ccTLDs (.us, .nyc, etc.) you also agree to the policies of the relevant registry operator and the policies referenced in their published agreements.

9. Registrant Representations & WHOIS Accuracy

You represent and warrant that the registrant contact data you provide is accurate, current, and complete. ICANN's WHOIS Accuracy Program requires us to verify the registrant email address within 15 days of any change. If you fail to respond to a verification email within 15 days, the registry may suspend the domain until the verification is completed. Knowingly providing false contact data is grounds for cancellation of the registration without refund.

10. Domain Transfers

You may transfer a domain away from Modusdom at any time, subject to ICANN's mandatory 60-day post-registration and 60-day post-transfer lock periods. We do not charge a transfer-out fee. To initiate an outbound transfer: (a) ensure the domain is unlocked in your account, (b) request an EPP/auth code from your dashboard, (c) initiate the transfer at the gaining registrar.

Inbound transfers are free. Per ICANN policy, an inbound transfer adds one year to the registration period and the corresponding annual fee applies. Transfers may take up to 7 days to complete per the ICANN Transfer Policy.

11. WHOIS Data & Privacy

Effective with ICANN's 2024 Registration Data Policy, public WHOIS no longer publishes registrant contact data by default; only technical and administrative fields required by registries are made publicly available. We offer free Modusdom-branded privacy proxy on all TLDs that permit it. Two TLDs do not permit WHOIS privacy by registry policy: .us (U.S. Department of Commerce policy) and .nyc (City of New York policy).

12. Acceptable Use

Your use of the Services is governed by our Acceptable Use Policy. Prohibited use includes phishing, malware distribution, spam, child sexual abuse material, illegal gambling, sale of controlled substances, copyright or trademark infringement, and any activity that violates ICANN policy or applicable law.

13. DNS Abuse

Modusdom complies with the DNS Abuse Framework. We act on credible reports of phishing, pharming, malware, botnets, and spam used to deliver any of the foregoing. Reports may be sent to abuse@modusdom.com.

14. Suspension & Termination

We may suspend or terminate your account or any individual Service if: (a) you breach these Terms or any incorporated policy; (b) we have a good-faith belief that continued service exposes Modusdom, Tucows/OpenSRS, ICANN, or any third party to harm or legal liability; (c) you fail to pay fees when due; (d) you provide false contact data or fail WHOIS verification; (e) a registry, ICANN, or court orders the suspension; (f) we are required by law. Where feasible, we will give you written notice and an opportunity to cure before terminating.

Suspension for cause does not entitle you to a refund of fees paid.

15. Reseller Relationship Disclosure

Modusdom acts as a reseller of Tucows Domains Inc. (OpenSRS), the ICANN-accredited registrar of record for your gTLD registrations. As a result: (a) your domain registration is on file with Tucows, not Modusdom; (b) certain functions (WHOIS verification, registry contact, transfer dispute) ultimately involve Tucows; (c) if Modusdom ceases operation, you retain ownership of your domain and may transfer it to any other ICANN-accredited registrar with no involvement from us. ICANN provides registrant data backup through its Registrar Accreditation Agreement.

16. Intellectual Property

"Modusdom" and the Modusdom logo are trademarks of NY Screens Media LLC. All website content (text, images, code) is copyrighted to NY Screens Media LLC unless otherwise noted. You retain all rights in content you upload to your mailbox, DNS zone, or account. By providing content to us you grant us a limited license to host, store, transmit, and process it solely as necessary to deliver the Services.

17. Third-Party Services Disclaimer

Some Services rely on third-party providers (Tucows/OpenSRS, Stripe, Hostinger, ICANN). We are not responsible for outages, errors, or actions of those providers beyond what we contractually require of them. Their respective terms and privacy policies apply alongside ours.

18. Disclaimer of Warranties

EXCEPT WHERE PROHIBITED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OPERATION. WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE OR THAT ALL DEFECTS WILL BE CORRECTED.

19. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MODUSDOM'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT EXCEED THE TOTAL AMOUNT PAID BY YOU TO MODUSDOM FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT. IN NO EVENT SHALL MODUSDOM BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

20. Indemnification

You agree to indemnify, defend, and hold harmless Modusdom, NY Screens Media LLC, its officers, directors, employees, agents, and our upstream registrar Tucows Domains Inc. (OpenSRS), from any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from (a) your domain registration, (b) your use of the Services, (c) your breach of this Agreement, or (d) your violation of any third-party right including intellectual property rights and rights of privacy.

21. Dispute Resolution, Governing Law, & Venue

This Agreement is governed by the laws of the State of New York, without regard to its conflict-of-laws principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in Kings County, New York, for any dispute arising out of or relating to this Agreement.

We do not require arbitration. You retain the right to bring a small-claims action where eligible.

22. Modifications to These Terms

We may modify these Terms from time to time. For material changes, we will (a) post the updated Terms at modusdom.com/terms with a new version number and effective date, (b) email the registered email address on your account at least 30 days before the changes take effect, and (c) give you the option to terminate the Service before the new Terms apply. Continued use after the effective date constitutes acceptance.

23. Force Majeure

Neither party shall be liable for failure or delay in performance caused by circumstances beyond its reasonable control, including acts of God, war, terrorism, civil unrest, labor disputes, natural disasters, government action, registry or ICANN action, internet or telecommunications failures, or denial-of-service attacks.

24. Assignment

You may not assign this Agreement without our prior written consent. We may assign this Agreement to a successor in interest in connection with a merger, acquisition, or sale of assets, on notice to you.

25. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.

26. Entire Agreement

These Terms, together with the Privacy Policy, Acceptable Use Policy, Refund Policy, and the ICANN policies incorporated by reference, constitute the entire agreement between you and Modusdom and supersede any prior agreements or representations.

27. Reseller / Upstream Failure

If Modusdom ceases operation or otherwise fails to renew, transfer, or service your domain through Tucows/OpenSRS, ICANN's Registrar Accreditation Agreement provides a mechanism through which registrant data is preserved and your domain may be transitioned to another registrar without your action. You may contact ICANN compliance at icann.org/compliance/complaint.
